THE COMPANY
CONTEXT AND OBJECTIVE(S)

Established in 1947 in Monaco, SIAMP is a leading provider in the sanitary solutions industry. The company operates globally across five continents, with a network comprising eight subsidiaries, six production facilities, and hundreds of distributors.

SIAMP was exploring the potential for a full or partial acquisition of TEMA, a Turkish company specializing in the distribution of bathroom and toilet equipment and accessories.

CONTENT OF SUPPORT

ADVANTIS provided comprehensive support to SIAMP from the inception of the project through to the post-acquisition phase.


Our services included:


  • Conducting organizational audits : evaluated TEMA's internal processes, management structure, and operational efficiency to identify strengths and areas for improvement. This included an in-depth analysis of the company’s workflow, human resources, and compliance with industry standards.


  • Managing financial and legal audits : management of the financial due diligence to assess TEMA’s fiscal health and ensure all financial statements were accurate and compliant with local regulations. Legal audits were conducted to identify any potential liabilities or legal risks associated with the acquisition.


  • Performing valuation and leading negotiations : provided a detailed valuation of TEMA to determine a fair acquisition price. Guided SIAMP through the negotiation process to ensure favorable terms and achieve a mutually beneficial agreement.


  • Implementing the new organizational structure : developed and executed a strategic plan to integrate TEMA into SIAMP’s global operations. This included restructuring management roles, aligning business processes, and ensuring seamless operational continuity.


  • Recruiting the site director and engineers : assisted in the recruitment of key personnel to lead the new entity. Our team identified top talent to fill the position of site director and specialized engineers, to ensure the successful operation and growth of the newly acquired business.


  • Monitoring and management advice : provided continuous support post-acquisition to monitor progress and address any emerging issues. Regular consultations and performance reviews were conducted to ensure that the integration met strategic and operational objectives.

The acquisition was achieved successfully within a 12-month period.
